TERMS & CONDITIONS (NUTZUNGSBEDINGUNGEN) – VENUED

1. GENERAL / LEGAL BASICS
1.1 Operator: This Platform is operated by Alara Özdenler, Zschokkestraße 36, 80687 Munich, Germany ("Operator").

1.2 Project Nature: Venued is currently provided as a non-commercial community project. There is currently no intent to generate business profit (Gewinnerzielungsabsicht).

1.3 Jurisdiction: These terms are governed by the laws of the Federal Republic of Germany.

1.4 Definitions: * 

"User": Any individual accessing the app.

"Organizer": Third-party entity listing events.

"Merchant of Record": The legal entity processing payments for tickets.

2. SCOPE OF SERVICE
Venued is a technical intermediary platform for event discovery, social matchmaking, and RSVP management. The service is currently focused on the Munich area. We provide the technical infrastructure but do not guarantee 100% uptime or specific feature availability.

3. USER ELIGIBILITY
You must be at least 18 years old. By creating an account, you represent that all information is accurate. The Operator reserves the right to refuse service to anyone at any time.

4. ACCOUNT MANAGEMENT
Registration requires valid email and phone verification. You are responsible for account security. Accounts inactive for more than 24 months may be deleted.

5. USER CONTENT & CONDUCT
Users grant Venued a non-exclusive license to display their content (photos, bio) within the app. Harassment, hate speech, spam, and fake events are strictly prohibited and result in a permanent ban.

6. EVENTS & INFORMATION
Venued does not verify the accuracy of third-party event listings. The Organizer is solely responsible for event content, safety, and execution.

7. MATCHMAKING & RECOMMENDATIONS
Matchmaking is based on algorithmic sorting. We do not guarantee compatibility or safety. Users meet others at their own discretion and risk.

8. RSVP & EVENT PARTICIPATION
8.1 Non-Binding Nature: An RSVP is a non-binding declaration of intent unless explicitly stated otherwise. 8.2 Organizer Rules: Organizers may have their own entry rules (e.g., dress code, age, capacity). Venued is not liable if a user is denied entry for any reason.

9. TICKETING & INTERMEDIARY ROLE
The Operator is not the seller or promoter. Any ticket purchase is a contract formed exclusively between the User and the Event Organizer or their designated Merchant of Record.

10. PAYMENTS & NO-ESCROW CLARIFICATION
10.1 Payment Processing: All payments are handled by third-party providers (e.g., via the Organizer's Stripe account). 
10.2 No Escrow: The Operator of Venued does not process, hold, or receive funds. There is no escrow or holding of funds by Venued at any time. Any financial disputes must be settled directly with the Merchant of Record.

11. ORGANIZER RESPONSIBILITIES
Organizers are responsible for permits, insurance, and legal compliance. Venued may remove events that appear unsafe.

12. ANALYTICS & PERSONALIZATION
Data processing for service personalization and matchmaking is conducted according to our Privacy Policy. Any analytics provided are for informational purposes only.

13. THIRD-PARTY SERVICES
The app uses external providers (e.g., Google Cloud, Maps). The Operator is not liable for their outages or failures.

14. INTELLECTUAL PROPERTY
All app design and code belong to the Operator. Scraping or reverse-engineering is strictly prohibited.

15. AVAILABILITY & MAINTENANCE
The Operator may suspend the service for maintenance or discontinue the project at any time without liability.

16. LIMITATION OF LIABILITY ("GRATUITOUS SERVICE")
16.1 Statutory Basis (§ 598 et seq. BGB): Because this service is provided free of charge as a community project, the Operator’s liability is legally reduced. 
16.2 Simple Explanation: Under German law, providers of free services are generally only liable for intent or gross negligence. 
16.3 Exclusion: The Operator is not liable for slight negligence, nor for the behavior of users or event incidents.

17. INDEMNIFICATION
Users indemnify the Operator against third-party claims arising from their violation of these terms.

18. TERMINATION
Users may delete their account at any time. The Operator may terminate access for users who disrupt the community.

19. CHANGES & NOTIFICATION
19.1 Right to Modify: The Operator may update these terms. 
19.2 Notification: Users will be notified of material changes via in-app push notification or email at least 14 days in advance. Continued use constitutes acceptance.

20. GOVERNING LAW & DISPUTE RESOLUTION
20.1 Governing Law: German law applies.
20.2 Venue: For all disputes, the exclusive jurisdiction shall be the courts of Munich, Germany.
